Data Processing Addendum (Placeholder)
Concepts for the B2B data processing terms between Hypeify and customers.
This DPA is a placeholder. A signed, attorney-prepared Data Processing Addendum is required before relying on this language for regulated customers.
1. Roles
For personal information that you, the customer, upload or process through the Service: you act as the controller (or, where applicable, business), and Hypeify acts as the processor (or, where applicable, service provider).
2. Processing Instructions
Hypeify will process customer personal information only on documented instructions from the customer, including as set out in the Terms of Service, this DPA, and the customer's use of the Service.
3. Confidentiality
Personnel authorized to process customer personal information will be bound by confidentiality obligations.
4. Security
Hypeify will implement reasonable technical and organizational measures designed to protect customer personal information against unauthorized access, loss, or alteration. See our Security Notice.
5. Subprocessors
Hypeify may engage subprocessors as listed on our Subprocessors page. We will notify customers of material changes in line with applicable law.
6. Data-Subject Requests
Hypeify will provide reasonable assistance to enable customers to respond to data-subject requests for access, correction, deletion, portability, and similar rights.
7. Deletion or Return
On termination of the Service, Hypeify will delete or return customer personal information in accordance with the Terms of Service and applicable law, subject to backup retention windows.
8. Breach Notification
Hypeify will notify the customer without undue delay after becoming aware of a personal-data breach affecting that customer's personal information, with the information reasonably available at the time.
9. International Transfers
[ATTORNEY-REVIEWED PLACEHOLDER] Where customer personal information is transferred internationally, the parties will rely on a lawful transfer mechanism appropriate to the receiving jurisdiction.
10. Order of Precedence
In the event of a conflict between this DPA and the Terms of Service with respect to the processing of personal information, this DPA controls. A signed, customized DPA may supersede this placeholder.
